Premium Management

The Directors are seeking authority at the General Meeting to issue up to 750 million Ordinary Shares and/or C Shares, in aggregate, on a non-pre-emptive basis so that the Directors will not be obliged to offer any new Shares to Shareholders on a pro rata basis. No Ordinary Shares will be issued at a price less than the prevailing Net Asset Value per existing Ordinary Share at the time of their issue plus a premium to cover the expenses of such issue. Investors should note that the issuance of new Shares is entirely at the discretion of the Board, and no expectation or reliance should be placed on such discretion being exercised on any one or more occasions or as to the proportion of new Ordinary Shares and/or C Shares that may be issued.

Discount Management

The Company may seek to address any significant discount to Net Asset Value at which its Ordinary Shares may be trading by purchasing its own Ordinary Shares in the market on an ad hoc basis. The Directors have the authority to make market purchases of up to 14.99% of the Ordinary Shares in issue on First Admission. Further details are contained within the Prospectus.
