The Board considers Resolutions 1-15 to be in the best interests of Shareholders as a whole, and voting in line with this guidance will prevent any disruption to the new strategy announced in March 2026, which is well-underway in execution.
Accordingly, the Board unanimously recommends to Shareholders that they vote in accordance with the guidelines above at the forthcoming AGM, as they intend to do in respect of their own beneficial holdings.
IMPORTANT REMINDERS WHEN VOTING
- Vote as soon as possible. Voting platforms may close as early as 7 September 2026, even though the Company's proxy deadline is 14 September 2026, vote early to make sure your vote is submitted in time.
- Vote on ALL resolutions, not just the Saba resolutions. Voting against the Saba resolutions alone, without also voting on Resolutions 1-15, is less effective than voting on the full slate.
- Posting a proxy form? It must be received by 14 September 2026, not just postmarked by then. This depends on postal delivery times, so please allow enough time, particularly if using second-class post.
VOTE NOW AGAINST THE SABA RESOLUTIONS
Saba does not have Shareholders' best interest at heart. Its proposals would destroy value by forcing asset sales, rather than allowing sales to occur on the current timeline set out by the Board: a timeline based on realising value-accretive divestments.
